3. User-Generated Content

1. Publish Content Policies: All users, dealers, and brands are required to adhere to our published content policies. This policy provides guidance on acceptable behaviour and online communication.
2. Ownership and License: You retain rights to any content you submit, post, or display. By uploading, you grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, store, display, reproduce, modify, perform, and distribute this content.
3. Infringement: Spartan Horse Media Ltd. respects others' intellectual property rights and expects its users to do the same. We reserve the right to remove content alleged to be infringing and to terminate repeat infringers.

Given the nature of the Site and the volume of messages and postings, Spartanhorse.com cannot and does not monitor all of the Materials posted or transmitted by you and other third-party information providers.

Our Website - App reserves the right, in its sole discretion, to monitor, refuse to publish, remove, delete, move or edit any Materials without notice, at any time for any reason. By using the Site, you expressly agree that Spartanhorse.com (a) will not be liable to any claims, actions or judgments arising out of or related to any Materials and (b) may monitor, refuse to publish, remove, delete, move or edit any Materials without notice at any time for any reason, without liability and without providing a refund.

Legal consequences arising from such content shall be borne by the uploader and not Spartan Horse Media Ltd. All trademarks, names and logos are the proprietary marks of Spartan Horse Media Ltd. or of our associated companies. Marks identifying third parties are owned or licensed by those third parties or their associated companies. No conditions within these terms use confers on you any licence or right under any trademarks, names or logos.

We are not liable for failure to perform any of our obligations under these terms of use caused by matters beyond our reasonable control.

Unless, by exemption permitted within these terms of use, you may not copy, reproduce, redistribute, download, republish, transmit, display, adapt, alter, create derivative works from or otherwise extract or re-utilise any of the contents of the Website. The material displayed on our Website is provided without any guarantees, conditions or warranties as to its accuracy and as otherwise excluded in these terms of use. You understand and acknowledge that in using the Service, you may be exposed to Content that is factually inaccurate, offensive, indecent, fraudulent or otherwise objectionable to you. You agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Spartan Horse Media Ltd. with respect to any such Content.

Any music or media content reposted to the Spartan Horse Website/App from other sources must respect copyright laws and standards. Spartan Horse Media Ltd. assumes no liability for infringements and retains the right to remove content associated with drugs, gambling, sex, copyright violations, or any other illegal activities.

6. Site Content

Pages contained in the Website - App may contain technical inaccuracies and typographical errors. The information in these pages may be updated from time to time and may at times be out of date. We do not accept responsibility for keeping the information up to date or liability for any failure to do so.

The Website - App contains material submitted and created by private and trade dealers and other third parties. We exclude all liability for any illegality arising from or error, omission, or inaccuracy in such material.

We give no warranties, conditions, guarantees or representations, express or implied, as to:

• the completeness or accuracy of the advice and information contained on the Website - App or any associated website;
• the content of the advertisements for vehicles included in our database, including but not limited to the ownership, quality, authenticity of a vehicle or the content more generally including any photographs, compliance with description or fitness for purpose of any such vehicles. Whilst we use reasonable efforts to identify and remove fraudulent advertisements, we cannot guarantee to identify all fraudulent advertisements on the Website.
• the results of any search of our database or circumstances where there is a limited number of vehicles selected by the search on our database which might meet the searcher's requirements.
• The Website publishes advertisements placed by third parties to advertise their vehicles and other goods and/or services. We do not own the vehicles or goods advertised for sale on the Website and have no liability for these or for any losses that you may incur as a result of purchasing a vehicle, goods and/or any services advertised by third parties. If you choose to purchase a vehicle, goods and/or services advertised for sale by third parties on the Website, the contract will be between you and the third party advertiser and not with us. You are responsible for taking steps to safeguard you and your money before contacting a seller and/or making a purchase. Advice on buying a car safely is provided here. If you see anything suspicious please or believe an advertisement to be fraudulent, please report it to us immediately so we can investigate.

7. Registration (User, Dealer, Brand)

To gain full access to the Spartan Horse platform, users, dealers, and brand companies must undergo a registration process. Users can opt for either a 'Basic' free membership or a 'Pro' paid membership. Dealers are required to purchase a yearly membership, payable upfront, to enjoy 12 months of unlimited car listings on our marketplace. Brands, on the other hand, have a yearly membership fee of 280€, valid for a full 12 months.

To register, individuals must provide personal details, while dealers and brands should offer their company information. Upon completion, a verification email will be sent. Once the email is verified, the next step is the payment procedure. Successful payment grants users full access to the User Profile Garage, dealers to their Dealer Page, and brands to their Brand Page.

All members have the option to cancel at any time. However, refunds are only applicable to dealers, calculated based on the remaining duration of their membership. Users and brands are not eligible for refunds upon cancellation.

As part of the registration process, you will be required to select a username and a password.

You agree that the information you supply during that registration process will be accurate and complete, and that you will not register under the name of another person or as another company. Failure to provide accurate and timely information may result in your account being closed and/or your access to content provided through your account being suspended, discontinued, or removed. We reserve the right to disallow use of a username that we deem offensive or inappropriate. You will be responsible for preserving the confidentiality of your password and for all actions of persons accessing the Spartan Horse Sites through any username/password assigned to you.

You will notify Spartan Horse’s Customer Service Manager of any known or suspected unauthorized use of your account via email. Spartan Horse Media Ltd. reserves the right to disclose any information we collect through user accounts and registrations in accordance with our Privacy Statement.

8. User

A user on the Spartan Horse platform is an individual who registers to engage, interact, and explore the world of automotive enthusiasts. As a user, they can browse listings, connect with dealers and brands, participate in discussions, share their own automotive experiences, and access both basic and premium features depending on their chosen membership. Once registered, they can post, like, share, and comment on content with photos or videos, reply to discussions, and showcase their cars in their profile-garage. This garage can be showcased on other social networks, shared on the street feed, or be viewable on Car Shorts.

9. Dealer

A dealer on the Spartan Horse platform is a recognized entity in the automotive world, dedicated to showcasing and selling vehicles. Upon registration, dealers are granted a dedicated Dealer Page with a Showroom, an interactive platform where they can list an expansive range of vehicles for sale.

They can engage directly with the vast community of users, post regular updates, news, and promotions to the street feed, and benefit from unlimited interactions and unlimited car listing in our Marketplace. With the ability to share, respond to queries, offers, messages, calls and highlight their inventory, dealers are not just listing cars; they're creating connections, building trust, and expanding their global reach.

Dealer Club Membership Cancellation Policy & Refund Terms Cancellation within Initial 10 days

1. If a Dealer chooses to cancel their Dealer Club Membership within the first 10 days of registration, they are eligible for a full refund.
2. No cancellation fees will be levied.
3. The refund will be processed and credited to the Dealer's original payment method within 30 working days.

Cancellation after the Initial 10 days:

1. Should a Dealer decide to cancel their membership after the 10-day period, refunds will be prorated based on the duration of membership used.
2. For the purpose of this policy, every 30 days is considered a month of membership coverage. For example:
• If cancellation occurs on the 16th day post-registration, the Dealer will be refunded for the remaining 11 months of their membership.
• If cancellation happens on the 31st day, the refund will cover the remaining 10 months.
3. Refunds will be initiated within 30 working days of the cancellation request.

Refund Process:

1. Refunds will be made to the same card or bank account from which the original payment was made, unless a different arrangement is agreed upon between Spartan Horse Media Ltd. and the Dealer.
2. Refund processing might take up to 30 working days, depending on the financial institution.

General Terms:

1. Spartan Horse Media Ltd. reserves the right to review and make necessary modifications to the refund policy.
2. Any agreements or modifications outside of this standard policy must be documented and acknowledged by both Spartan Horse Media Ltd. and the Dealer in question.

10. Brand

Brands on the Spartan Horse platform represent the diverse spectrum of the automotive ecosystem. From tyre manufacturers to car detailing experts, and parts suppliers to innovative service providers, each brand benefits from a dedicated Brand Page. This space is a digital realm for them to spotlight their products, services, and latest offerings. By sharing posts, updates, and media, they can build a following, initiate interactions, and foster meaningful connections. Posting on the street feed, being the recipient of likes, comments, and shares, brands can dynamically engage with a user base, positioning themselves at the heart of the automotive conversation.

11. Street Feed

Street Feed is Spartan Horse's dynamic content stream, a constantly updating flow of posts, media, and interactions central to the platform. It's where the heartbeat of the automotive community can be felt in real-time. Users, dealers, and brands each bring their unique voices to this vibrant digital boulevard:

• Users: On Street Feed, users can share snapshots of their latest rides, chronicle their automotive adventures, or discuss the latest in car trends. By posting to the feed, they can broadcast their passions, garnering reactions, and sparking discussions with fellow enthusiasts.
• Dealers: Dealers utilize Street Feed as a digital showroom extension. Here, they can spotlight new car arrivals, announce exclusive deals, or share behind-the-scenes glimpses into their operations. It's a direct line to potential buyers and a chance to reinforce their dealership's identity.
• Brands: For brands, Street Feed is an interactive billboard. It's where they can launch new products, provide insights into their research and development, or showcase customer testimonials. Through regular updates and interactions, brands can cultivate loyalty and keep their followers informed and engaged."

Whether you're a casual user, a dedicated dealer, or a pioneering brand, Street Feed offers a space to share, connect, and amplify your voice in the automotive world.

12. Car Shorts (Mobile App only)

Car Shorts is a unique feature exclusively available on the Spartan Horse Mobile App. Designed for a seamless mobile experience, Car Shorts lets you explore the automotive universe through vertical scrolling, showcasing cars, their photos, garages, videos, and more. It's a spontaneous and engaging way to immerse yourself in the world of cars and connect with other users.

How It Works:

1. Vertical Exploration: Dive into an array of random car views by simply scrolling up. Every swipe introduces you to a new car or garage, making the discovery experience fun and unpredictable.
2. Engage with a Tap: Car Shorts is built for quick interactions.
• Like: Tap on a car that catches your eye to show appreciation.
• Comment: Express your thoughts or ask questions about a car with a simple tap.
• Share: If a car truly resonates with you or you believe it would interest your friends and followers, tap to share it on the street feed or other social networks.
3. Discover & Connect: Through Car Shorts, not only do you get a visual treat of stunning vehicles, but you also get to connect. Follow users, explore their garages, and forge new connections within the Spartan Horse community.

User Responsibilities:

• While Car Shorts is designed for spontaneity and ease, it's essential to use the feature responsibly. Any content shared should adhere to Spartan Horse Media Ltd.'s guidelines and respect community standards.
• Users should refrain from posting any content that might infringe copyrights, or that's inappropriate or offensive.
• All interactions, be it comments or shares, should be respectful and constructive.

Disclaimers:

Spartan Horse Media Ltd. reserves the right to review and remove any content from Car Shorts that does not adhere to our community guidelines or is deemed inappropriate. As always, users are responsible for the content they share and the interactions they make.

13. e-Shop

The Spartan Horse - Eshop ("Eshop") is a dedicated section of the Spartan Horse platform where registered users can purchase branded merchandise. This includes, but is not limited to:

1. T-Shirts with Car Designs: Original apparel with custom automotive designs.
2. Hats: Branded headwear representing the Spartan Horse identity.
3. Keyrings: Small accessories bearing the Spartan Horse logo or design.
4. Lanyards: Neck or wrist straps with the Spartan Horse branding for various uses.

The Eshop's primary purpose is to offer users an opportunity to purchase items that promote brand awareness and showcase their dedication to the Spartan Horse community.

Transactions and Security: All transactions within the Eshop are processed through the Shopify payment system. Shopify provides a secure transaction environment, and Spartan Horse Media Ltd. takes reasonable steps to protect users' payment details. However, the company is not responsible for any breaches that occur outside its control.

Product Display and Availability: The Eshop aims to represent each product as accurately as possible through photos and descriptions. However, variations in display settings can alter the perceived colour or appearance. Items are available while supplies last, and the availability can change without notice.

Purchase and Returns: All sales from the Eshop are final. Users should carefully review their order before finalizing their purchase. Any issues related to the merchandise quality or delivery should be addressed directly through the provided contact channels on the Eshop page.

By using the Spartan Horse Eshop, users agree to these terms and acknowledge understanding the purchase conditions.

14. Marketplace - Buying and Selling Vehicles

The Spartan Horse Media Ltd. (www.spartanhorse.com) website is a vehicle listing and information service that brings together buyers and sellers. Spartan Horse Media Ltd. is not a party to any transaction between vehicle buyers and sellers that originates on or through the Spartan Horse Sites. Information about a particular vehicle is supplied by the seller and may include data from third parties and/or machine learning. The price and other terms of any sale remain subject to direct negotiation between the buyer and the seller.

As a result, Spartan Horse Media Ltd. does not (a) guarantee or ensure any vehicle or any transaction between a buyer and seller, (b) collect or process payment or transfer of title on behalf of buyers or sellers, or (c) warehouse, store, ship or deliver any vehicles.

Though we hope that all who come to the Spartan Horse Sites will act honourably and treat each other fairly, we cannot verify the information about vehicles or guarantee the vehicles offered by sellers. Nor can we assure the seller of a vehicle that the payment he or she receives from the buyer is legitimate. When using the Spartan Horse Sites to find a buyer for your vehicle or a vehicle to purchase, we urge you to use the same common sense and good judgment you would use in selling a vehicle through, or responding to, a classified ad in the newspaper.

15. Car Configurator - Placing a Car Listing on the Spartan Horse Marketplace

The Spartan Horse Marketplace ("Marketplace") provides a dedicated platform for registered users, dealers, and brands to place car listings. Each group has varied levels of access and permissions as set out below:

1. Users: Each registered user is granted the privilege to list one car for free on the Marketplace.
2. Dealers: Registered dealers, under the benefits of their paid membership, are allowed unlimited car listings on the Marketplace.
3. Brands: Brands registered on the platform do not have the capability to list cars on the Marketplace.

Listing Process:

• Selection: Upon initiating a car listing, the lister will be prompted to choose the brand, model, generation, series, and trim of the vehicle.
• Automatic Data Specifications: Once the aforementioned details are selected and finalized, the data specifications for the specified car will automatically populate the listing. This ensures uniformity and accurate representation of vehicles on the Marketplace.
• Media Upload: Following the auto-population of specifications, listers can then add personal photos, videos, or sound recordings to further detail and present their car.
• Publication: After the lister has verified all details and media uploads, they can publish the car listing. Once live, the car listing becomes accessible to all users worldwide.
• Street Feed Update: A new listing will automatically generate a post on the 'Street Feed,' expanding the visibility of the listed car to all users following the feed.

Liabilities & Responsibilities:

1. All listers are responsible for ensuring the accuracy and legitimacy of the content they upload. False representation can lead to removal of listings and potential penalties.
2. Spartan Horse Media Ltd. reserves the right to remove any car listing that breaches the platform's terms, contains inappropriate content, or is suspected of misinformation.
3. It's crucial that all media content uploaded by the lister is either owned by them or they have the necessary rights and permissions for its use. Infringement of third-party rights will result in the removal of the respective media and possible further actions.

By placing a car listing on the Spartan Horse Marketplace, you agree to these terms and attest to the accuracy and authenticity of all the provided information.

16. Contact Preferences for Car Listings

When placing a car listing on the Spartan Horse Marketplace, you'll be prompted to choose your preferred method of contact:

1. Spartan Horse Platform Messaging: By default, interested parties will be directed to contact you using the Spartan Horse Platform's built-in messaging system. This keeps your personal details private and all communication contained within the platform.
2. Email & Telephone Contact: Optionally, you can choose to display your email and/or telephone number alongside your listing. Should you choose this option, be aware:
• Your email and/or telephone number will be publicly visible alongside your listing, available to all users.
• Spartan Horse Media Ltd. cannot control or monitor the types of messages or calls you may receive as a result of publicly displaying your contact details.
• We strongly recommend using the Spartan Horse Platform Messaging system for your safety and privacy. However, the choice is yours.

Liabilities & Responsibilities:

• By choosing to display your email or telephone number, you understand and accept the risks associated with sharing personal contact information online.
• Spartan Horse Media Ltd. assumes no responsibility or liability for any unwanted communications, spam, or any potential misuse of your contact information.
• Any decision to display personal contact information is made at the user's discretion. It's your responsibility to manage and decide what personal information you're comfortable sharing.

By finalizing your car listing's contact preferences, you acknowledge and agree to these terms, and understand the implications of your choices.

17. Payment for Additional Car Listings

If you're a user who's already utilized your complimentary car listing and wish to list a second car (or more), there will be a charge for this additional service. Here's how the process works:

1. Initiating the Listing: Once you've set up your car listing and are ready to publish, you'll be directed to our payment portal.
2. Secure Payment Process: Payments for car listings on Spartan Horse are processed through Stripe, a trusted and secure payment gateway.
• All payment transactions are encrypted, ensuring the utmost protection of your data.
• Your payment card details are used exclusively for the single transaction to process payment for your advert. Post-transaction, Spartan Horse Media Ltd. retains no record of your card details.
3. Finalizing Your Listing: Upon successful payment, your car listing will be published and made live on our marketplace and automatically posted to our street feed.

Liabilities & Disclaimers:

• Ensure that you've reviewed your listing details thoroughly before confirming payment.
• In the rare event of payment discrepancies or issues, contact our support team for assistance.

By proceeding with the payment for an additional car listing, you acknowledge and agree to these terms, recognizing the security and processing practices we have in place.

18. Data Protection and Privacy

a. Protection of Data: All personal data provided to Spartan Horse Media Ltd. is stored securely. We employ advanced cryptography and encryption techniques to ensure data security.
b. Third-Party Sharing: We do not share your personal information with third-party companies.
c. Data Storage: All user data is securely stored on our protected Google Cloud servers.

19. Dispute Resolution

All disputes arising from or relating to the services provided by Spartan Horse Media Ltd. shall be determined by arbitration. The place of arbitration shall be [Location, Country, as per your jurisdiction].

20. User Restrictions
